Terms of Service

Welcome to Porizo. These Terms of Service ("Terms") govern your use of our mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not use the Service.

Porizo is a personalized song creation platform that uses voice conversion technology to create custom songs that sound like you singing. The Service includes:

• Voice enrollment and profile creation
• AI-powered song generation with personalized vocals
• Song preview, in-app save, and sharing features
• Subscription tiers with varying features and limits

2.1 Age Requirement

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent to use the Service.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.3 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

3.1 Your Voice

By enrolling your voice, you:

• Confirm that you are the owner of the voice or have explicit permission from the voice owner
• Grant us a license to process your voice for the purpose of creating personalized songs
• Acknowledge that we create voice embeddings (mathematical representations) that cannot recreate your original recordings

3.2 Generated Content (AI-Generated Songs)

Songs delivered through the Service are generated by artificial intelligence models. Lyrics, melody, and instrumentation are produced by AI; the recipient-facing vocal is produced by voice conversion driven by a real human recording you enrolled.

Songs created through the Service:

• Are owned by you for personal, non-commercial use
• Contain audio watermarks for content verification
• May not be used to impersonate others or for commercial purposes without a commercial license
• Should be disclosed as AI-generated when shared publicly, in accordance with platform rules and applicable law

You agree NOT to use the Service to:

• Create content that impersonates any person without consent
• Generate harmful, abusive, defamatory, or illegal content
• Produce content that infringes on intellectual property rights
• Attempt to reverse-engineer voice conversion technology
• Circumvent usage limits or security measures
• Commercially resell or redistribute generated content
• Create content involving minors in inappropriate contexts
• Harass, threaten, or harm other users

Violation of these terms may result in immediate account suspension or termination.

5.1 Subscription Tiers

The Service offers different subscription tiers with varying features:

• Free: Limited previews, basic features
• Plus: Extended previews, full renders, additional features
• Pro: Unlimited usage, priority processing, commercial license

5.2 Billing

• Subscriptions are billed through Apple App Store or Google Play Store
• Subscriptions automatically renew unless cancelled 24 hours before the renewal date
• Prices may vary by region and are subject to change with notice

5.3 Refunds

Refunds are handled according to the policies of Apple App Store or Google Play Store. Contact their support for refund requests.

5.4 Credits

Some features use a credit system. Credits:

• Are non-transferable and non-refundable
• Expire according to the terms of your subscription tier
• Cannot be exchanged for cash

6.1 Our Property

The Service, including its technology, design, features, and content (excluding user-generated content), is owned by Porizo and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

6.2 Your Content

You retain ownership of your voice recordings and personal messages. By using the Service, you grant us a limited license to process this content solely for providing the Service.

6.3 Generated Songs

Songs generated through the Service are licensed to you for:

• Personal use: Sharing with friends and family, personal enjoyment
• Commercial use: Only with a Pro subscription or commercial license

We reserve the right to:

• Review content for compliance with these Terms
• Block or remove content that violates our policies
• Suspend accounts that repeatedly violate Terms
• Report illegal content to appropriate authorities

We use automated systems and human review to moderate content. If you believe content was incorrectly moderated, contact appeals@porizo.co.

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• System updates
• Technical issues
• Circumstances beyond our control

We will attempt to provide advance notice of scheduled maintenance when possible.

To the maximum extent permitted by law:

• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow certain limitations. In such cases, limitations apply to the extent permitted by law.

You agree to indemnify and hold harmless Porizo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Content you create or share
• Violation of these Terms
• Infringement of third-party rights

11.1 By You

You may terminate your account at any time through the app settings or by contacting support. Upon termination:

• Your subscription will not renew
• Your data will be deleted according to our Privacy Policy
• Active credits will not be refunded

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Create a risk for Porizo or other users
• Are inactive for an extended period (we will notify you first)

12.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@porizo.co and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration

If we cannot resolve a dispute informally, any dispute arising from these Terms will be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to a jury trial.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or other urgent matters.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any legal proceedings must be brought in the courts of Delaware.

We may modify these Terms at any time. We will notify you of material changes through the app or email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and delete your account.

• Entire Agreement: These Terms constitute the entire agreement between you and Porizo regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign your rights under these Terms. We may assign ours.
• Force Majeure: We are not liable for failures due to circumstances beyond our control.
